The Opportunity

Prove the Demand, Before You Build For It

1 Shelley Street is not yet at full occupancy, and on site coffee demand has not yet been proven at volume. Rather than ask Charter Hall to commit to a permanent fitout before that question is answered, this proposal sets out a fast, low risk way to find out: a fully turnkey coffee cart, trading within weeks of sign off, run entirely by Coffee on Cue.

The building currently sees an average of around 1,300 people on site a day, roughly 1,200 tenants plus 100 daily visitors, busiest Monday to Thursday with a quieter Friday. That is enough of a base to properly test real demand, without Charter Hall needing to commit to capital upfront for the coffee cart.

This is deliberately run as a clean, standalone proof of concept, on its own terms, with no immediate obligation attached to any future conversations about a larger, permanent solution. If it proves out, it gives both parties a real evidence base, cups sold, revenue generated, tenant response, to inform whatever comes next.

How The Model Works

Cost Neutral First. Shared Upside After.

We agree a minimum revenue target together, based on trading hours and the service level selected below. If actual revenue falls short of that target, Charter Hall covers the gap. Once the activation clears the minimum, cost neutrality, any profit earned above that point is split: 80 per cent rebated back to Charter Hall, 20 per cent retained by Coffee on Cue.

We Agree the Floor

A minimum revenue target is fixed at the start, based on trading hours and the service level chosen. A shared commitment, modelled together and agreed in writing.

Shortfalls Are Covered

If revenue falls short of the agreed minimum, Charter Hall covers the gap. Transparent, predictable, and tracked against the floor in real time.

Upside Is Shared

Once the activation clears the minimum, 80 per cent of profit above that point is rebated back to Charter Hall. Coffee on Cue retains 20 per cent.

No Capital Outlay

Coffee on Cue supplies all equipment, staffing, consumables and technology. Charter Hall provides the footprint and power. Nothing else required.

Transparent Reconciliation

Revenue tracked against the minimum weekly. Any shortfall, and any upside share, reconciled monthly. No ambiguity, no complexity.

Data Driven Decisions

First Contact and Charter Hall get full visibility into revenue versus target, cups sold and performance, the evidence base for whatever comes next.

Fixed, Defined Term

A clearly bounded proof of concept window, not an open ended commitment. A natural point to review what has been learned once it concludes.

Two service options depending on scope and facilities. Minimum revenue shown ex GST; coffee pricing shown inc GST. Option B is dependent on site facilities, and needs further discussion before it can be confirmed.

Covers a single barista on site. To sustain the activation without subsidy, the agreed minimum is $150 per trading hour. Tracked weekly against actual transaction revenue.

Price Per Cup

Standard 6oz coffee at $5.00 inc GST, priced well below the surrounding Sydney CBD specialty coffee market. Large (10oz) priced at +$2.00. Extras (alternative milks, double shot) at +$0.50.

Option B's facilities requirement is covered in the Infrastructure section below, and needs to be confirmed on site before it can be committed to.

Standard Setup (Option A)

  • 1x 10A single phase power connection (covers the GS3 machine, grinder, POS and ancillary equipment)
  • Self-contained sink unit with onboard hot water (no plumbing connection required)
  • Access to BOH dry storage, if available
  • Confirmation of loading access and delivery instructions
  • City of Sydney temporary food trader permit (Coffee on Cue to apply, approximately two weeks lead time)

This proposal is structured as a defined term proof of concept activation, commencing 26 October 2026 and running to 31 March 2027.

This stands on its own: a decision here carries no immediate obligation toward any larger or longer term conversation. At the end of the term, Charter Hall and First Contact review what has been learned, demand, revenue and tenant response, and agree what, if anything, comes next.

Terms & Acceptance

Headline Terms

A summary of the commercial terms for this activation. The full Activation Agreement governs the engagement and is provided alongside this proposal.

Engagement

Charter Hall, via First Contact, engages Coffee on Cue Pty Ltd (ABN 64 624 026 470) to deliver the temporary retail coffee activation described in this proposal at 1 Shelley Street, Sydney NSW.

Term

Defined term proof of concept activation, 26 October 2026 to 31 March 2027. Extension or transition to a longer term arrangement by mutual written agreement only.

Commercial Model

Minimum revenue model as set out in the Investment section: $150 per hour ex GST under Option A, or $225 per hour ex GST under Option B (facility dependent, to be confirmed), single barista, 7 hours a day, 5 days a week. Charter Hall covers any shortfall against the minimum. Once the activation clears the minimum, 80 per cent of additional profit is rebated to Charter Hall and 20 per cent retained by Coffee on Cue. Reconciled and reported monthly. Payment terms: 14 days from invoice.

Site & Equipment

Coffee on Cue supplies all equipment, staffing, stock and consumables. Charter Hall to provide power, access to waste streams and the agreed activation footprint at no cost to Coffee on Cue.

Insurance & Compliance

Coffee on Cue carries Public Liability ($20M), WorkCover and all relevant food handling and temporary trader certifications. Compliant with City of Sydney and building operating requirements.

Termination

Termination is governed by the full Activation Agreement, which sets out notice periods, breach and cure provisions, and remedies for both parties.

Full Agreement

The complete Activation Agreement, including liability, indemnities, confidentiality, brand and photography rights, force majeure and dispute resolution, is issued separately and forms the binding contract between the parties.
